Advertising Terms

1. Who We Are

PathLabTalk ("PathLabTalk," "we," "us," "our") is operated by Kinetic Path Media, LLC, a Tennessee limited liability company based in Medina, Tennessee. "PathLabTalk" is a trade name of Kinetic Path Media, LLC; all references in these Terms to "PathLabTalk" mean Kinetic Path Media, LLC.

These Advertising Terms (the "Terms") govern your purchase and use of advertising placements on the PathLabTalk website and community forum (the "Site"). By creating an advertiser account, submitting an advertisement, or starting a subscription, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not advertise with us.

If you advertise on behalf of a business or other organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

2. The Advertising Service

We sell image advertisements that rotate on the Site with other advertisers.

  • What a placement is. An advertisement consists of one or more image creatives, each with a single click-through URL, shown in a designated ad slot on the Site. You manage your creatives through the advertiser portal at pathlabtalk.net/advertiser/.
  • Rotation, not reservation. Placements rotate on an approximately equal basis among active advertisers. We do not sell exclusive positions or guarantee any specific placement, order, share of voice, number of impressions, number of clicks, click-through rate, or business result.
  • Labeling. We may label your advertisement as advertising, sponsored, or similar, and may place it among other advertisements.
  • No endorsement. Running your advertisement is not an endorsement, review, or recommendation of you or your products by PathLabTalk, its staff, or its members, and you will not state or imply otherwise.
  • Changes to the service. We may change the ad slots, sizes, rotation, portal, or the Site itself. If we permanently remove the ad slot your creatives run in and offer no comparable replacement, your sole remedy is a pro-rated refund of the unused portion of your current billing period.

3. Your Advertiser Account

  • You must be at least 18 years old and able to form a binding contract.
  • You must provide accurate account and billing information and keep it up to date.
  • You are responsible for all activity under your account, for the security of your login credentials, and for anyone you invite to manage your account.
  • Notify us promptly at hello@pathlabtalk.net of any unauthorized use of your account.

4. Advertisement Standards

You are responsible for all creative, landing pages, and claims in your advertising. Every creative is reviewed before it runs, and you agree that your advertising, and the pages it links to, will not:

4.1 Prohibited content and conduct

  • Violate any law or regulation, or infringe anyone's intellectual property, privacy, publicity, or other rights.
  • Be false, deceptive, or misleading, including unsubstantiated performance or comparison claims.
  • Make a medical, diagnostic, clinical, or health-outcome claim that is not truthful, substantiated, and compliant with applicable law and regulation, including U.S. Food and Drug Administration ("FDA") and Federal Trade Commission ("FTC") requirements. Advertising for medical devices, diagnostics, laboratory instruments, reagents, in-vitro diagnostic products, drugs, or supplements must comply with all applicable clearance, approval, labeling, and promotion rules.
  • Promote a product or service as cleared, approved, or validated when it is not.
  • Contain or link to adult content, gambling, or content that is defamatory, harassing, hateful, or that promotes violence or discrimination.
  • Contain or link to malware, run phishing or credential-harvesting pages, initiate automatic downloads, or attempt to gain unauthorized access to any system or to a visitor's device.
  • Use the PathLabTalk or Kinetic Path Media names, logos, or the look of the Site in a way that suggests affiliation or endorsement beyond the fact that you are an advertiser.
  • Collect personal information from Site visitors through the creative itself, or use tracking pixels, redirects, or scripts in the creative beyond a standard click measurement.
  • Disparage PathLabTalk or promote a service whose primary purpose is to compete with the PathLabTalk community.
  • Target advertising to children, or to any individual based on sensitive personal characteristics.

4.2 Technical requirements

  • Creatives must meet the format, dimension, file-size, and file-type requirements shown in the portal at upload.
  • The click-through URL must use HTTPS, resolve to a working page that matches the advertisement, and must not cloak, redirect deceptively, or change destination after approval.
  • Animation, if permitted for a slot, must not flash, strobe, or auto-play audio.

4.3 Review, rejection, and removal

We may review, reject, request changes to, pause, or remove any advertisement at any time, with or without notice, for any reason, including a violation of this Section, a complaint, a legal or regulatory concern, a technical problem, or our editorial judgment. Approval of a creative is not a waiver of these Terms and may be reconsidered. We are not obligated to run any advertisement.

If we remove an advertisement for violating this Section, no refund is due. If we pause an advertisement for a fixable technical issue, we will make reasonable efforts to tell you what to change.

5. Your Materials and Licenses

5.1 Your creatives

You retain ownership of the images, text, and other material you provide ("Your Materials"). You grant Kinetic Path Media, LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, resize and reformat for display, and publicly display Your Materials on the Site and in the advertiser portal for the purpose of running and reporting on your advertising. This license ends when the creative is deleted from the portal, except for residual copies in routine backups, which are purged on our normal cycle.

You represent and warrant that you own or have all rights and permissions necessary to grant this license and to run the advertising, that Your Materials and their landing pages comply with Section 4, and that any claim in your advertising is truthful and substantiated.

5.2 Our property

We own the Site, the advertiser portal, their software and design, and the "PathLabTalk" and "Kinetic Path Media" names and logos. Nothing in these Terms gives you any right in them except the limited right to be identified as an advertiser while your advertising runs.

5.3 Feedback

If you send us suggestions or feedback about the advertising service, you grant us an unrestricted, perpetual right to use them without obligation to you.

6. Fees, Billing, and Cancellation

  • Subscription. We sell advertising as a subscription billed in advance, monthly, through our payment processor, Stripe. By providing a payment method, you authorize us, through Stripe, to charge it for all fees when due, including at each renewal, until you cancel.
  • Rate. Your monthly rate is the amount shown in the portal at checkout. A negotiated or legacy rate, if any, applies only while your subscription remains active and uninterrupted.
  • Autorenewal. Your subscription renews each month automatically until canceled.
  • Price changes. We may change the standard rate on at least 30 days’ notice by email. The new rate applies at your next renewal after the notice period. If you do not agree, cancel before that renewal.
  • Failed payments. If a charge fails, Stripe may retry it, and we will notify you. If payment is not resolved within [14] days, we may pause your advertising; if it is not resolved within [30] days, we may cancel your subscription and your advertising stops.
  • Cancellation. You may cancel at any time from the advertiser portal or by contacting us. Cancellation takes effect at the end of the current billing period; your advertising runs until then.
  • Refunds. Except as expressly stated in these Terms or required by law, fees are non-refundable, and we do not provide refunds or credits for partial billing periods, for time an advertisement was paused or removed for a violation, or for any level of performance.
  • Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, or similar taxes, except taxes on our net income.

7. Reporting and Data

  • Reporting. Impression and click figures in the portal are provided on a best-efforts basis from our own logs, are not independently audited, and may be adjusted for invalid or non-human activity. They are for your information only; your fee does not depend on them.
  • What we log. For each impression and click we record non-identifying technical data such as a one-way hashed IP address, user agent, and referring page, on a limited retention schedule. The advertiser portal stores your account, contact, and creative information. Stripe handles payment details, and we do not store them.
  • Invalid activity. You will not, and will not authorize anyone to, generate impressions or clicks by automated means, incentivize clicks, or otherwise inflate or manipulate reporting.

8. Term, Suspension, and Termination

  • Term. These Terms apply for as long as you have an advertiser account or an active subscription.
  • You have a right to cancel. You may cancel at any time as described in Section 6.
  • Our right to suspend or terminate. We may pause your advertising, or suspend or terminate your advertiser account: (a) for a violation of Section 4; (b) for non-payment; (c) if required by law or to address a security, legal, or fraud concern; or (d) for any reason on 30 days' notice, in which case we will refund the unused portion of your current billing period.
  • Effect. On termination your advertising stops, your license to be identified as an advertiser ends, and any accrued fees remain payable. Sections that by their nature should survive (including 4, 5.2, 7, 9, 10, 11, 12, and 14) survive.

9. Disclaimers

THE ADVERTISING SERVICE AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site or portal will be uninterrupted, timely, secure, or error-free, that any advertisement will run without interruption, or that advertising will produce any particular reach or result. We do not provide legal, regulatory, or marketing advice.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption, even if we were advised of the possibility.
  • Our total liability for all claims relating to your advertising or these Terms in any 12-month period will not exceed the greater of (a) the fees you paid us for advertising in that period, or (b) US $100.

These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow some of these limitations, so parts may not apply to you.

11. Indemnification

You will defend, indemnify, and hold harmless Kinetic Path Media, LLC and PathLabTalk, and their officers, employees, and contractors, from any claim, loss, or expense (including reasonable attorneys' fees) arising out of: (a) Your Materials or the pages they link to; (b) any claim in your advertising; (c) your products or services; (d) your violation of these Terms or any law or regulation, including FDA or FTC requirements; or (e) a dispute between you and a Site visitor or customer.

12. Governing Law and Disputes

  • These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules.
  • The exclusive venue for any dispute is the state or federal courts located in Gibson County, Tennessee, and you consent to their jurisdiction.

13. Changes to These Terms

We may update these Terms. If a change is material, we will notify active advertisers by email or portal notice at least [15] days before it takes effect. Continued advertising after the effective date means you accept the updated Terms. If you do not agree, cancel before the effective date.

14. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about advertising on the Site, and supersede any prior advertising arrangement, insertion order, or invoice terms.
  • Severability. If a provision is unenforceable, the rest stays in effect.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Notices. We may give notice by email to your account address or by posting it on the portal. You may give us notice at the address below.
